A Portuguese company can move its head office to another country, as long as that country's law allows it. The company keeps its legal personality through the move. The shareholders' decision needs at least 75% of the votes tied to the share capital.

Redomiciliation to Portugal

A foreign company can move its head office to Portugal where its home country's law allows it, again keeping its legal personality. It must adapt its articles of association to comply with Portuguese law.

Documents required to redomicile to Portugal

1. Certified copy of the home country's law allowing redomiciliation
2. Certified copy of the company's articles of association
3. Certified copy of the company's certificate of registration
4. Certified copy of the shareholders' resolution covering:
   • The move of the head office to Portugal
   • Approval of the new articles adapted to Portuguese law
   • Appointment of the director or directors

All documents must be legalised with the Hague Convention apostille. We recommend a name pre-approval with the Portuguese authorities before preparing the documents.
